PAYMENT TERMS: ADVERTISER agrees to pay the amount shown on the Advertising Order at the time ADVERTISER signs the contract. The Advertising Order is incorporated by reference and made a part of this Advertising Contract (hereinafter “Contract”). Cash, check or money orders are acceptable forms of payment. Amounts past due are subject to a service charge and NUEVAS RAÍCES may charge a reasonable processing fee for re turned checks. Any expenses incurred by NUEVAS RAÍCES to enforce the terms of this contract, including reasonable collection fees; attorney’s fees and court costs, shall be added to and become part of the amount due. COPY DEADLINE: All advertisers must submit copy by the copy deadline. PROOF: Upon receipt of advertising copy from the ADVERTISER, NUEVAS RAÍCES will prepare the advertisement and mail copies of it to the ADVERTISER at the location address provided by ADVERTISER. ADVERTISER will review the advertisement and then return it to NUEVAS RAÍCES within forty-eight (48) hours. ACCEPTANCE BY NUEVAS RAÍCES: Advertising is subject to the approval of the editorial staff of NUEVAS RAÍCES. NUEVAS RAÍCES shall not be held liable for any damages incurred by ADVERTISER as a result of NUEVAS RAÍCES’ editorial staff’s failure to approve any advertisement. Publication of the advertising requested by ADVERTISER in the newspaper constitutes acceptance by NUEVAS RAÍCES. PUBLICATION DATE: ADVERTISER’S advertisement shall run for the time specified in the contract. For this Contract, the term “month” means the issuance of four or five issues of the newspaper. ERRORS or OMISSIONS: NUEVAS RAÍCES’ liability shall be limited to a pro-rata abatement to the extent that an error or omission affects the entire advertisement. The liability of NUEVAS RAÍCES shall in no event exceed the total amount of charge for advertising for the contracted for life of the advertisement. NUEVAS RAÍCES shall in no event be held liable for consequential damages incurred as a result of any error or omission in any advertisement. PLACEMENT: Placement of advertisements cannot be guaranteed but preferences will be given consideration for placement of advertisements. CANCELLATIONS: Due to the nature of our production schedule, cancellation requests cannot be honored. AUTHORITY: The person signing on behalf of the ADVERTISER or otherwise authorizing the placement of the advertising hereby certifies that the or she is either the ADVERTISER, or he or she is or has been lawfully authorized to enter into this Contract on behalf of ADVERTISER. FORCE MAJEURE: ADVERTISER acknowledges and agrees that none of the other parties hereto will be in breach of their respective obligations under this Contract in the event that, for cause or causes beyond their control, such parties are unable to perform, in whole or in part, any one or more of their obligations under this Contract. Such causes shall include, but not be limited to, labor disputes, governmental regulations or controls, fire or other casualty, inability to obtain materials or services, technical failure, acts of God, insurrection, or any other cause not within the reasonable control of the party which is unable to perform. SEVERABILITY: The invalidity or unenforceability of any particular provision of part of any provision of this Contract will not affect the other provisions or parts hereof, and this Contract will be construed in all respects as if such invalid or unenforceable provision(s) or part(s) were omitted. COMPLETE AGREEMENT; MODIFICATIONS: This Contract contains the entire agreement of the parties with respect to the advertising services to be provided by NUEVAS RAÍCES. This Contract may not be modified or amended except by written agreement signed by ADVERTISER and NUEVAS RAÍCES. CHOICE OF LAW: This contract is governed by the laws of the Commonwealth of Virginia. ADVERTISER hereby consents to service of process by registered mail at the mailing address it has provided to NUEVAS RAÍCES. Final judgment against ADVERTISER in any such action, suit or proceeding may be enforced in other jurisdictions by suit, action or proceeding on the judgment, or in any other manner provided by or pursuant to the laws of such other jurisdiction. ADVERTISER hereby waives its right to institute legal action against NUEVAS RAÍCES in any jurisdiction other than the General Courts of Justice of the Commonwealth of Virginia.
